1. Introduction
The Cudium platform ("Platform"), including its website (www.cudium.com) and mobile application ("Cudium Business App"), is owned and operated by Cudium ("we," "us," or "our"). By accessing or using the Platform and services ("Services"), you ("you" or "user") agree to these Terms of Service ("Terms") and our Privacy Policy. If you disagree, do not use the Platform.
2. Definitions
- Platform: Cudium’s website, Mobile App, and related services.
- User: Any person registered on Cudium to deposit, withdraw, transfer, or convert currencies.
- Transaction: Any financial activity conducted via the Platform.
- Currency: NGN, USD, GBP, EUR, USDT, or other supported currencies.
3. Account Registration
3.1. To use the Services, you must:
- Provide accurate information (name, email, phone number).
- Create a secure password and complete KYC verification.
- Be at least 18 years old.
3.2. You are solely responsible for:
- Maintaining account confidentiality.
- Notifying us of unauthorized access (admin@cudium.com).
3.3. We reserve the right to suspend/terminate accounts for:
- Suspected fraud or legal violations.
- Non-compliance with these Terms.
4. Modifications
We may update these Terms from time to time and will notify you of material changes by posting revised Terms on the Platform. Your continued use of the Services after any update constitutes acceptance of the revised Terms.
5. Exchange Rates
5.1. Rate Determination:
- Exchange rates displayed on the Platform are sourced from reputable benchmark providers and updated in real time.
5.2. Timing of Rate Lock:
- The rate you see at confirmation is the rate you lock in, provided you complete the Transaction within the timeframe displayed at initiation.
5.3. Material Difference:
- A “Material Difference” occurs when the exchange rate displayed at the time you initiate a Transaction deviates by more than 0.5% (upward or downward) from the prevailing market rate as determined by our benchmark sources.
5.4. Right to Suspend, Refuse, or Cancel:
- If a Material Difference arises due to system errors, unauthorized access, hacking, or any other technical or security issue, we reserve the right to suspend, refuse, or cancel your Transaction until we have investigated and resolved the discrepancy.
5.5. Investigation and Notification:
- We will use commercially reasonable efforts to complete our investigation within two business hours of detecting the discrepancy. As soon as accurate rates are restored, we will notify you by email and/or in-app alert. You may then choose to reinitiate the Transaction at the corrected rate or cancel it without penalty.
5.6. Manual Review upon Request:
- If you believe a suspension is unwarranted, you may request a manual review by contacting our Support team within 48 hours of notification. We will complete the review and communicate the outcome within one business day of receiving your request.
5.7. Limitation of Liability:
- To the fullest extent permitted by applicable law, we shall not be liable for any losses, damages, or costs you incur as a result of suspensions, cancellations, or rate adjustments stemming from circumstances beyond our reasonable control.
6. Acceptable Use
6.1. You agree not to:
- Use the Platform unlawfully or for prohibited activities (e.g., fraud, money laundering).
- Reverse engineer, copy, or misuse Cudium’s intellectual property (see Section 7).
6.2. Prohibited Transactions:
- Illegal goods/services (e.g., narcotics, weapons).
- Gambling or Ponzi schemes without prior written approval.
7. Intellectual Property
7.1. All Platform content (text, logos, trademarks) is owned by Cudium and protected under Nigerian and international law.
7.2. You grant Cudium a non-exclusive license to use your trademarks solely for Service provision.
8. License Grant
8.1. We grant a limited, revocable, non-transferable license to use the Platform per these Terms.
8.2. You may not:
- Modify, redistribute, or create derivative works.
- Use Cudium’s branding without written permission.
9. Disclaimers & Liability
9.1. The Platform is provided “as is.” We disclaim warranties for uninterrupted or error-free service.
9.2. Limitation of Liability:
- Cudium is not liable for indirect damages.
10. Indemnification
You agree to indemnify and hold harmless Cudium against all claims, liabilities, losses, and expenses arising from your breach of these Terms.
11. Governing Law & Disputes
11.1. These Terms are governed by Nigerian law.
11.2. Disputes shall first undergo alternative dispute resolution (where applicable) before litigation in Nigerian courts.
12. Cryptocurrency & Liquidity
12.1. Users acknowledge risks associated with cryptographic systems.
12.2. Cudium maintains liquidity pools but does not provide financial advice.
13. Privacy & Data Protection
13.1. We comply with the Nigeria Data Protection Act (2023) and PCI/DSS standards.

14. Cookies
By using the Platform, you consent to our use of cookies. Refusal may limit functionality.
15. Miscellaneous
- Severability: Unenforceable clauses will be modified to reflect intent without affecting the remainder of these Terms.
- Entire Agreement: These Terms supersede all prior agreements relating to your use of the Platform.
